As globalization of business continues at a rapid pace, so does the globalization of the world's stock markets. A global company seeking capital is no longer limited to listing its shares on the New York Stock Exchange but can list on major exchanges in London, Shanghai or Hong Kong, or developed regional exchanges in every major business center from Dubai to Sao Paulo.
This course will focus on the law and lore, and well as the rapidly changing environment, of global securities offerings. It will be team taught by the head of International Corporate Finance at the US Securities and Exchange Commission and a senior partner in a preeminent international law. It will start with background in the US rules applicable to global offerings, including Regulation S, Rule 144A, Sarbanes-Oxley, ADRs, Sections 4 and 5 of the Securities Act of 1933, and the Foreign Corrupt Practices Act.
The course will then examine the changes that have been occurring in the major international markets , the effect on the competitiveness of the US markets, and whether US policy and regulatory responses are adequate to address these changes. It will examine the options available to a foreign company seeking to raise capital internationally. The course will finish with a discussion of the future of the US as the preeminent capital market and the policy ramifications thereof.
Note that there is no pre-requisite for this course.
