Domestic and International Project Finance & Development: Case Studies

    This course will use recent transactions as case studies to illustrate and analyze the legal techniques and financial issues involved in developing and financing both domestic and international energy and other infrastructure projects. These transactions will be the basis for a discussion of the ownership structure, contract provisions and other legal, political, regulatory, legal, environmental and dispute resolution challenges facing each deal. Coverage will include different sources of project financing, including equity sources, multilateral entities, banks and capital markets, political risk insurance, actual documentation used for owning, developing, constructing, buying and financing projects, negotiating techniques developed to achieve desired objectives, bribery, and legal issues raised by many troubled projects. The course will address unique aspects of energy projects, sports facilities, telecom facilities and toll roads.

Prerequisite Courses:
Recommended: Corporate Finance or a background in business or financial transactions.

Mutually Excluded Courses:
Students may receive credit for only one of the following courses: Infrastructure Projects in Developing and Transition Countries; International Finance (Professor Hagler); International Project Finance; International Project Finance and Investment; or International Project Finance & Development: Case Studies. However, students who have previously taken International Finance (Professor Asser) may take one of the above courses other than International Finance (Professor Hagler) for credit.
