This Course will take a practical, hands-on approach to handling public company merger and acquisition transactions from inception through closing. Students will learn and participate in hands-on activities including: finding the right merger partner; drafting and negotiating letters of intent; conducting due diligence; drafting and negotiating the merger agreement and related documents; and closing the merger. The course will focus on corporate and securities issues related to public company merger transactions, as well as, tax structuring concepts, employee benefits issues, labor issues and other federal legal issues. In addition, the course will highlight advising boards of directors of their fiduciary obligations in merger transactions. The course will be taught as a semester-long simulation in which students take on the various roles of counsel in all aspects of an M&A transaction. Students will be graded fifty percent on their participation and work output in the simulations, and fifty percent on a short answer essay final examination.
