This seminar course offers an opportunity for in depth discussion of key issues in securities regulations including current Securities and Exchange Commission (SEC) and Public Company Accounting Oversight Board (PCAOB) regulatory priorities, how those priorities relate to the rapid changes in, and competition among, domestic and international capital markets, the economic bases for SEC and PCAOB regulation, and the operation and impact of the SEC’s regulatory oversight and enforcement programs. Guest speaker participants will include senior SEC and PCAOB staff members and experienced securities practitioners.
Grading will be based on a final paper on an approved topic and class participation.

J.D. students must register for the 3 credit section of the course if they wish to write a paper fulfilling the J.D. Upperclass Legal Writing Requirement. The paper requirements of the 2 credit section will not fulfill the J.D. Upperclass Legal Writing Requirement.
