Executive Compensation & Employee Benefits: Corporate & Securities Issues

    This course focuses on the interaction between U.S. securities laws and the tax, accounting, corporate and labor issues relating to Executive Compensation and Employee Benefits. Securities registration and disclosure, litigation issues, trading restrictions and relevant corporate governance matters are among the topics that will be addressed. The overall objective of the course is to give students an understanding of key securities-related terms, stakeholders and practices that face attorneys handling Employee Benefit matters for private and public companies. This course is intended for students obtaining an LL.M. in Taxation or Securities and Financial Regulation, as well as students obtaining the Employee Benefits Certificate. This course will require two 5-10 page papers (weighed equally), one as a mid-term and the other as a take home final exam.
