Professor Gerson is a principal in the PricewaterhouseCoopers LLP -Washington National Tax Services office with the Mergers and Acquisitions group, where he assists clients with joint venture matters, structuring domestic and foreign partnership acquisitions and disposition transactions and initial public offerings of partnership structures. Professor Gerson also has extensive consulting experience involving partnership operational issues, including substantial economic effect analysis and section 704(c) methods. Prior to joining PricewaterhouseCoopers in 2003, Professor Gerson served as attorney-advisor in the Office of Chief Counsel Passthroughs division. While at Chief Counsel, Professor Gerson was the primary drafter of final regulations governing allocation of basis adjustments, proposed and final regulations governing revaluations of partner capital accounts, and safe harbor guidance for grants of unvested interests in partnership profits to service providers. Professor Gerson is a member of the American Bar Association (Taxation Section) and the District of Columbia Bar Association (Taxation Section) and has presented on panels for both of these associations. He has also published articles in the Journal of Taxation, Tax Analysts, Practicing Law Institute, and Tax Management Memorandum.
