He reviews and comments on initial public offering and follow-on offering registration statements; business combination transactions; proxy statements relating to annual shareholder meetings on Schedule 14A; annual, quarterly, and current reports; foreign private issuer registration statements; and confidential treatment requests. He previously worked in the General Counsel's office of a Washington D.C. area educational technology company where he worked on a variety of corporate legal matters, including drafting of the Form S-1 registration statement in connection with the company's initial public offering.
