Maxwell R. Rich is an Adjunct Professor of Law and teaches From Formation to Exit – Capital Formation for Startups. Professor Rich also works in house at OpenDeal Inc. dba Republic as its Deputy General Counsel, Vice President of Regulatory Affairs and Secretary, he also sits on the board of Seedrs Limited, a wholly owned United Kingdom subsidiary and FCA regulated entity. Founded in 2016, Republic allows everyone to invest in private market equity, debt, or crypto offerings through their retail platform The company operates several distinct business lines, including a retail investment platform, a private capital division, and a blockchain advisory practice.
Professor Rich draws on several years of corporate, transactional and regulatory experience. Prior to joining Republic, he worked at Liberty Mutual in their private investment arm as a law clerk.
Professor Rich’s writing has been cited in numerous released by the Securities and Exchange Commission and he is a frequent speaker on topics regarding regulation crowdfunding, practice management best practices, and startup and venture investing.
Professor Rich graduated from Drew University with a Bachelor of Arts degree, double-majoring in Political Science and Economics. He earned his J.D. from Boston University School of Law, earning honors in the transactional law program. Professor Rich is admitted to practice law in the Commonwealth of Massachusetts and the State of New York.
