Professor Poerio’s is a Partner in the Employment Department of Paul, Hastings, Janofsky & Walker LLP, where he focuses exclusively on executive compensation and employee benefits, with significant attention to U.S. and global stock plans. He advises employers about relevant corporate, tax, financial accounting, securities, labor, and litigation issues. Mr. Poerio works regularly with every Paul Hastings office, on a national and international level. Nearly half of his time over the past 15 years has been spent in the merger and acquisition area, where he and his team handle ERISA due diligence, golden parachute issues and calculations, negotiation of the employment-related terms of acquisition agreements, transitional issues, and strategies for minimizing financial expense and taxation. In addition, Mr. Poerio counsels clients about their employment agreements and all types of compensatory plans, including tax-qualified retirement, SERP, welfare, stock-based, deferred compensation, welfare, fringe benefit, and formula-based incentive plans.
