She counsels Fortune 500 corporations and their directors and officers with respect to corporate governance, financial crisis management, disclosure obligations, fiduciary duties, internal investigations and risk management. In addition, Professor Smilan has handled more than 50 securities class actions, in addition to derivative actions, internal investigations and related matters. She frequently lectures on corporate governance, internal investigations, securities, derivative and M&A litigation and financial disclosure issues across the country. Prior to joining Latham & Watkins, Professor Smilan was the Co-Managing Partner of the Northern Virginia office of Wilson Sonsini Goodrich & Rosati.
